1. Legal Entity

VIAOS is a brand operated by Virtual Impact Group LLC. All services are provided by Virtual Impact Group LLC.

2. Acceptance of Terms

By accessing or using VIAOS at https://viaos.co, you agree to these Terms of Service. If you do not agree, do not use the service.

3. Service Scope

VIAOS provides CRM and lead workflow tools. Features may evolve over time to improve reliability, security, and performance.

4. Account Responsibility

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

5. Acceptable Use

You agree not to misuse VIAOS, interfere with platform operations, or use the service for unlawful activities.

6. Third-Party Integrations

VIAOS may integrate with third-party providers such as Meta, Supabase, Twilio, Vercel, and Railway. Their services are subject to their own terms and policies.

7. Disclaimer and Liability

VIAOS is provided on an "as is" and "as available" basis. To the fullest extent allowed by law, Virtual Impact Group LLC disclaims warranties and is not liable for indirect, incidental, or consequential damages.

8. Call Recording, Consent, and Responsible Use

VIAOS may provide tools that allow users to place, receive, monitor, record, transcribe, analyze, or log telephone calls. The user is solely responsible for determining whether any call may be recorded, monitored, or analyzed under applicable federal, state, local, and international laws.

By using VIAOS, the user agrees that they are solely responsible for providing any legally required notice, disclosure, and/or consent to all call participants before recording, monitoring, transcription, or analysis begins.

VIAOS does not guarantee that use of the platform will satisfy any call recording, wiretapping, telemarketing, TCPA, consent, privacy, insurance, or communications compliance obligation. The user is responsible for using the platform lawfully and responsibly.

If a user, agent, employee, contractor, or representative fails to provide any required disclosure or obtain any required consent, the user accepts full responsibility and liability for that failure, including any claims, penalties, damages, regulatory actions, or disputes arising from the call.

The user agrees to indemnify and hold harmless VIAOS, its owners, operators, affiliates, employees, contractors, and service providers from any claim, loss, damage, penalty, cost, or expense arising from the user's failure to comply with applicable call recording, consent, telemarketing, privacy, or communications laws.

By creating an account, clicking "I agree," accessing the platform, or using any VIAOS calling feature, the user confirms that they have read, understood, and accepted these obligations.

9. Artificial Intelligence Features

VIAOS uses artificial intelligence, including large language models and automated speech recognition, in several parts of the platform. This includes transcribing call recordings and uploaded audio or video, analyzing and summarizing calls, extracting structured observations from conversations, generating scripts and other written content, organizing dictated notes, and answering questions about workspace data.

AI output can be wrong. Automated transcription, analysis, extraction, and generation are probabilistic. Output may be inaccurate, incomplete, outdated, misattributed, or fabricated, including output that appears confident, specific, or well-sourced. Transcription may misrecognize words, names, numbers, accents, or languages. The user is responsible for reviewing and verifying any AI output before relying on it, sending it to a third party, or acting on it.

Not professional advice. AI output is not legal, financial, insurance, tax, medical, employment, or compliance advice, and is not a substitute for a licensed professional. Nothing generated by the platform should be treated as an approved statement of any insurer, carrier, regulator, or other third party.

Generated content must be reviewed before use. Scripts, messages, summaries, and other generated material may not satisfy advertising, suitability, disclosure, licensing, or other regulatory requirements that apply to the user's industry. The user is solely responsible for reviewing, editing, and approving any generated content before it is used with a consumer, prospect, client, or recruit, and for ensuring it is accurate and compliant.

Employment and personnel decisions. Features that analyze employee or agent calls produce estimated, probabilistic observations for coaching and training purposes. They are not a system of record, not a performance rating, and not a determination of fact. Speaker attribution in particular may be uncertain or withheld, and an observation may reflect the conversation rather than a specific participant. The user is solely responsible for any employment, compensation, disciplinary, or termination decision, must not rely on AI output as the sole basis for such a decision, and is responsible for complying with any law governing employee monitoring, notice, and automated decision-making.

Third-party AI processing. To provide these features, content including recordings, transcripts, documents, and text entered into the platform may be transmitted to third-party AI providers, currently OpenAI and Groq, for processing. Their terms and policies apply to that processing. The platform applies automated personal-information redaction to transcripts before they are sent for analysis, and blocks transcripts flagged as high-risk from being sent to an external model at all, but no redaction is perfect and the user should not assume that any particular information has been removed.

Availability and change. AI features depend on third-party services and may be unavailable, delayed, rate-limited, changed, or discontinued. Identical inputs may produce different output at different times. Virtual Impact Group LLC does not warrant the accuracy, reliability, availability, or fitness for any purpose of any AI feature or its output, and disclaims liability for decisions made in reliance on it, to the fullest extent allowed by law.

By creating an account, clicking "I agree," or using any AI feature, the user confirms they understand that the platform uses AI, that its output can be wrong, and that they are responsible for reviewing it.

10. Messaging, SMS, and Electronic Communications

VIAOS may provide tools to send email and SMS messages, including automated or triggered messages. The user is solely responsible for obtaining and maintaining any consent required to contact a recipient, for honoring opt-out and STOP requests, and for complying with the TCPA, CAN-SPAM, A2P 10DLC registration requirements, and any other applicable communications law. VIAOS does not guarantee that use of the platform satisfies any such obligation.
